Terms and Conditions

Effective date: 1 March 2026

These Terms and Conditions ("Terms") govern your use of Veil ("the Software"), a desktop application developed and operated by KarmaFoundry ("we", "us", "our"). By downloading, installing, or using Veil, you agree to these Terms in full. If you do not agree, do not use the Software.

1. Description of Service

Veil is a desktop application for macOS and Windows that records, transcribes, and summarises meetings using on-device processing. The Software includes privacy-preserving features ("VeilPhantom" powered by the Shade NER model) that pseudonymise personally identifiable information before any text is sent to third-party AI services for summary generation. No account registration is required — the Software is identified by an anonymous device ID.

2. License

Subject to these Terms (and, where applicable, an active paid Subscription), KarmaFoundry grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for personal or internal business purposes.

You may not:

Reverse engineer, decompile, or disassemble the Software or any of its components, including the Shade NER model.
Redistribute, sublicense, rent, or resell the Software.
Remove or alter any proprietary notices or labels on the Software.
Use the Software for any unlawful purpose, including recording conversations without the consent of participants where required by applicable law.
Attempt to circumvent the subscription or licensing system.

3. Subscription and Payment

Veil is offered as a paid subscription service at USD $8 per month ("Subscription"), following a 14-day free trial. Payment is processed through Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions.

Your free trial begins on the date you provide payment details. You will not be charged until the trial period ends.
Your Subscription renews automatically each month unless cancelled before the renewal date.
You may cancel at any time through your Paddle account or by contacting us at hello@helloveil.com. Cancellation takes effect at the end of the current billing period.
You are entitled to a full refund within 14 days of any payment, no questions asked. To request a refund, contact us at hello@helloveil.com or through your Paddle account. Refunds are processed by Paddle and typically appear within 5-10 business days.
KarmaFoundry reserves the right to change pricing with at least 30 days' notice. You may cancel before price changes take effect.

4. Privacy and Data Processing

Veil is designed with privacy as a core principle. The following summarises how data is handled:

Audio recordings are stored locally on your device and are never uploaded to our servers.
Transcription is performed on-device using Parakeet (via FluidAudio). No audio data leaves your machine.
PII detection is performed on-device by the Shade NER model. Sensitive entity detection never involves cloud processing.
AI summaries are generated by sending pseudonymised text (with real names, amounts, and identifiers replaced by token placeholders) to third-party AI providers via our proxy server. The original personally identifiable information never leaves your device.
Anonymous analytics are collected via PostHog using an anonymous device ID. No meeting content or personal information is included. You may opt out in Settings.

5. Recording Consent

You are solely responsible for complying with all applicable laws regarding the recording of conversations, including obtaining informed consent from all participants where required by law (including but not limited to the laws of the jurisdictions in which the participants are located). KarmaFoundry does not provide legal advice. We strongly recommend consulting local regulations before recording any meeting or conversation.

6. Acceptable Use

You agree not to use Veil to:

Record conversations without legally required consent.
Collect, store, or process personal data of others in violation of applicable data protection laws.
Engage in any activity that is illegal, harmful, or infringes the rights of third parties.
Attempt to extract, reproduce, or distribute the Shade NER model or any other proprietary component of the Software.

7. Third-Party Services

The Software integrates with third-party services including:

Paddle — payment processing and subscription management.
OpenRouter / Google Gemini — AI text processing (pseudonymised text only).
PostHog — anonymous in-app analytics.
Convex — proxy server for license validation and AI relay.

KarmaFoundry is not responsible for the practices, terms, or availability of these third-party services. We pseudonymise all meeting content before it is transmitted to AI providers, but we cannot guarantee the security practices of third parties beyond our control.

8. Intellectual Property

Veil, including its source code, design, documentation, Shade NER model, and VeilPhantom privacy pipeline, is the intellectual property of KarmaFoundry and is protected by applicable copyright and intellectual property laws. Nothing in these Terms grants you ownership of any part of the Software.

9. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. KarmaFoundry does not warrant that:

The Software will be error-free, uninterrupted, or free from security vulnerabilities.
Transcriptions or AI-generated summaries will be perfectly accurate or complete.
The VeilPhantom privacy pipeline will detect and pseudonymise 100% of sensitive information in all cases. Automated PII detection has inherent limitations.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KarmaFoundry and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software, including but not limited to loss of data, loss of revenue, or privacy breaches arising from the limitations of automated PII detection.

KarmaFoundry's total cumulative liability to you for all claims arising from or relating to the Software shall not exceed the total amount you paid for the Software in the 12 months immediately preceding the event giving rise to the claim.

11. Termination

KarmaFoundry may suspend or terminate your access to the Software if you materially breach these Terms and fail to remedy the breach within 14 days of written notice. You may terminate your use at any time by cancelling your Subscription and uninstalling the Software. Upon termination:

Your license to use the Software is revoked.
All locally stored meeting data remains on your device — KarmaFoundry cannot and does not delete it remotely.
You may export or delete your local data at any time before or after uninstalling.

12. Changes to Terms

KarmaFoundry may update these Terms from time to time. We will notify you of material changes through the Software or by email at least 14 days before changes take effect. Continued use of the Software after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should cancel your Subscription and uninstall the Software.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of South Africa. Any disputes arising from or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the courts of South Africa, without prejudice to your rights as a consumer under your local laws.
